1. About these terms
These Terms and Conditions govern the agreement between Fuscia Ltd (“Fuscia”, “we”, “us”) and the client (“you”) for the provision of managed website and digital infrastructure services.
By proceeding with a subscription or bespoke project, you confirm that you have read and agree to these terms. These terms apply to all Fuscia service packages (Launch, Accelerate, and Capture), the AI Receptionist service, Growth Acceleration services, and bespoke website projects.

2. Our services
Fuscia provides managed digital infrastructure services for small service businesses. The specific deliverables included in your service are set out in the package description applicable at the time of your subscription.
All services are provided on a subscription basis unless otherwise agreed in writing. Subscription services commence on the date your first payment is processed.
We reserve the right to update or improve the services included within a package from time to time. We will notify you of any material changes that affect your subscription before they take effect.
We reserve the right to decline any enquiry or application for service at our discretion. Acceptance of payment does not constitute acceptance of an application where a technical or suitability issue is identified prior to build commencement.
3. Subscriptions and minimum term
All subscriptions are subject to a minimum contract term of 12 months from the date your first payment is processed. Following the minimum term, your subscription continues on a rolling monthly basis until cancelled by either party in accordance with clause 6.
Setup fees, where applicable to your package, are charged at the point of subscription and are non-refundable. They cover the configuration, build, and launch of your website and automation systems.
Monthly subscription fees are charged in advance on the same date each month via Stripe. You authorise Fuscia to collect payments automatically on this basis for the duration of your subscription.
4. Onboarding and build process
Following payment, you will receive an onboarding form sequence covering all information required to design, build, and launch your website. The quality of your completed onboarding forms directly affects the quality of the finished site. Incomplete or vague responses may result in delays or additional revision rounds.
Build timelines are confirmed by email once your onboarding forms are complete. Timelines are estimates and may vary depending on the complexity of your requirements and the completeness of information provided.
You are responsible for providing accurate business information, ensuring you hold the rights to any content or imagery you supply, and responding to build-stage queries within a reasonable timeframe. Delays caused by late responses or incomplete information are not the responsibility of Fuscia.
The site will be presented to you for review prior to launch. You will have the opportunity to request amendments within the scope of your package before the site goes live.
5. Change requests
Ongoing change requests are included within your subscription as defined by your package. Requests should be submitted via the change request process provided to you at launch.
Where a request falls outside the scope of your package or exceeds your included allowance, we will provide a cost estimate before any additional work is undertaken. No additional charges will be applied without your prior written approval.
Change requests that materially alter the structure, purpose, or functionality of the site may be treated as a new project scope and quoted accordingly.
6. Cancellation
You may cancel your subscription at any time. Cancellations submitted during the minimum 12-month term will take effect at the end of that term. Cancellations submitted after the minimum term will take effect at the end of the current monthly billing period.
To cancel, contact us in writing at steve@fuscia.co.uk. Cancellation is confirmed when you receive written acknowledgement from us.
Upon cancellation, your website will be taken offline at the end of your final billing period. Your domain name remains yours. We will provide a full WordPress export of your site files within 14 days of your cancellation date, giving you everything needed to migrate your site to another provider.
No exit penalties apply once the minimum term has been served.
Fuscia reserves the right to terminate a subscription immediately where a client has acted in breach of these terms, engaged in abusive or threatening behaviour toward Fuscia personnel, or provided materially false information during onboarding.
7. The 30-day guarantee
Launch plan clients only: if within the first 30 days of your subscription you feel Fuscia is not the right fit, we will refund your first month’s subscription fee. No hard feelings.
This guarantee applies to the monthly subscription fee only. Setup fees are non-refundable. The guarantee does not apply to Accelerate, Capture, AI Receptionist, Growth Acceleration, or bespoke project services.
To request a refund under this guarantee, contact us at steve@fuscia.co.uk within 30 days of your first payment date.
8. Pricing, VAT, and payment
All fees are quoted in pounds sterling and are exclusive of VAT. VAT will be charged at the prevailing rate and shown separately on all invoices. Fuscia Ltd VAT registration number: 259 2796 54.
Subscription payments are collected automatically via Stripe on your monthly billing date. It is your responsibility to ensure your payment method remains valid and has sufficient funds.
If a payment fails, we will notify you and allow a grace period of 14 days for the outstanding payment to be resolved. If payment has not cleared within 14 days of the failed payment date, your website will be taken offline until the outstanding balance is settled. No service credits or refunds are issued for the period during which the site is offline due to non-payment.
Once payment is received, your site will be restored promptly. Repeated payment failures may be treated as grounds for contract termination at our discretion.
9. Website ownership and asset transfer
All content you supply to Fuscia for inclusion on your website – including text, images, logos, and brand assets – remains your property throughout.
The website build, design, and associated assets are transferred to you upon completion of your minimum 12-month contract term, provided all subscription payments are current at that time. Transfer is provided as a full WordPress export file, giving you everything needed to host your site independently or migrate to another provider.
During your active subscription, Fuscia retains the right to manage, update, and maintain the website as part of the service. We will not make material changes to your site without your knowledge or approval.
Fuscia may reference your website as an example of our work in our own marketing materials, unless you request otherwise in writing.
10. Your responsibilities
You are responsible for:
- Providing accurate, complete, and up-to-date business information during onboarding and throughout your subscription
- Ensuring you hold the rights to all content, images, and materials you supply to Fuscia
- Keeping your payment details current
- Reviewing and approving your site within a reasonable timeframe at each stage of the build process
- Notifying us promptly of any changes to your business that affect the content or function of your website
- Using the services only for lawful purposes and in accordance with applicable law
Fuscia accepts no liability for issues arising from inaccurate information provided by you, content that infringes third-party rights, or delays caused by your failure to respond within a reasonable timeframe.
11. Service availability and liability
We take the reliability of your website seriously and work with reputable hosting infrastructure to maintain availability. In the event of a technical issue or service disruption, we will use reasonable endeavours to identify and resolve the problem as quickly as practicable.
Fuscia does not guarantee uninterrupted or error-free service. Downtime may occur as a result of hosting provider maintenance, third-party platform issues, or circumstances outside our reasonable control.
To the fullest extent permitted by law, Fuscia Ltd’s liability in connection with the provision of services is limited to the total subscription fees paid by you in the three months preceding the event giving rise to the claim. Fuscia accepts no liability for loss of revenue, loss of profit, loss of data, or any indirect or consequential loss arising from service disruption or any other aspect of the services.
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Third-party services
Fuscia uses third-party platforms and tools to deliver certain elements of the service, including website hosting, payment processing, CRM and automation, AI call handling, and calendar integration. While we select providers carefully, we are not responsible for the availability, performance, or actions of third-party services.
Where a third-party service experiences disruption that affects your website or automation, we will take reasonable steps to resolve or mitigate the impact. Our liability in these circumstances remains subject to clause 11.
13. Confidentiality
Both parties agree to keep confidential any sensitive business information shared in the course of the service relationship and not to disclose it to third parties without prior written consent, except where required by law.
Credentials and access details submitted during onboarding are handled in accordance with our Privacy Policy and are never shared externally.
14. Governing law
These terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to these terms
We may update these Terms and Conditions from time to time. When we do, we will update the date at the top of this page. For active clients, we will provide at least 30 days’ notice of any material changes by email. Continued use of the service following that notice period constitutes acceptance of the updated terms.
